8.1 Choice of law
These Terms, your access to and use of the Site, and any non-contractual obligations arising out of or in connection with these Terms or such access or use, are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to any conflict-of-laws rule that would result in the application of the law of another jurisdiction.
8.2 Venue and jurisdiction
Subject to the dispute-resolution provisions in Section 3.5–3.6, the courts of Lagos State, Nigeria, have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or your use of the Site. You irrevocably submit to the jurisdiction of those courts and waive any objection to venue on grounds of inconvenient forum.
8.3 Electoral Act 2022
Nothing in these Terms is intended to limit, qualify, or derogate from the application of the Electoral Act 2022, the Constitution of the Federal Republic of Nigeria 1999 (as amended), or any subsidiary legislation made thereunder. Where any provision of these Terms conflicts with a non-derogable provision of the Electoral Act 2022, that provision of the Electoral Act 2022 prevails to the extent of the conflict, and the affected provision of these Terms is severed and replaced with a provision that, to the maximum extent permitted, gives effect to the original commercial intention of the parties.
8.4 INEC cooperation
The Authorising Principal commits to full and timely cooperation with the Independent National Electoral Commission (“INEC”) and to compliance with all guidelines published by INEC governing campaign financing, advertising, and conduct. Where INEC issues a directive, ruling, or guidance that requires changes to the Site or the Donation Platform, the Authorising Principal undertakes to implement those changes promptly and to retroactively apply them where lawfully required.
Nothing in these Terms is intended to obstruct, delay, or undermine any investigation, enquiry, or enforcement action by INEC, the Economic and Financial Crimes Commission (“EFCC”), the Independent Corrupt Practices Commission (“ICPC”), the Nigeria Financial Intelligence Unit (“NFIU”), the Code of Conduct Bureau, the Nigeria Data Protection Commission (“NDPC”), or any other competent regulator.
8.5 Cross-border users
If you access the Site from outside Nigeria, you do so on your own initiative and are responsible for compliance with the laws of your jurisdiction. The choice of law and jurisdiction in this Section is intended to be enforceable to the maximum extent permitted by the law applicable to you. Where the law of your jurisdiction provides a non-derogable right that the law of Nigeria does not, that right prevails to the minimum extent necessary.
8.6 Injunctive relief
Notwithstanding the foregoing, either party may apply to any court of competent jurisdiction for injunctive or other equitable relief in respect of an actual or threatened (a) infringement of intellectual property, (b) breach of confidentiality, or (c) urgent matter that cannot reasonably await the resolution of arbitration.
8.7 Assignment
You may not assign or transfer these Terms or any of your rights or obligations under them without our prior written consent. The Authorising Principal may assign or transfer these Terms, in whole or in part, to any successor or affiliate at any time.
8.8 Notices
Any notice under these Terms must be in writing and sent to contact@peterobi.support. We will send any notice to you at the most recent email address you have given us, or, where you have not given us an email address, by posting the notice prominently on the Site.
8.9 Electronic execution
These Terms are entered into electronically. By using the Site you consent to the use of electronic means to communicate, agree, and execute under the Evidence Act 2011, the Cybercrimes (Prohibition, Prevention, etc.) Act 2015, and any other applicable Nigerian or foreign law. Where applicable law requires a wet-ink signature, the parties will execute a counterpart in physical form.
